These Terms set the conditions of purchases done in the Documented.zone / Dokkari.fi –systems (later (“Service”) between buyer (later “Buyer”) and business enterprise (later “Owner of the material”) which produced the digital material (later “Material”). In the Service Owner of the material will give Ceverte Oy the rights to sell or share the material in the service and to manage associated payment transactions between the users of the system and Owner of the material. For compensation, Service provider will charge Owner of the material a commission.

1. Trading parties and the role of Service provider

Trading parties in purchases done in the Service are the Buyer and the Owner of the material. Buyer can explore the information provided by Owner of the material and make contact with Owner of the material through the Service at will.

The aim of Service provider is to help business enterprises by offering a change to spread material that promotes their operation.

Service provider is not a party in trading between Owner of the material and Buyer and is not liable for contents of the material provided by Owner of the material, nor any possible comments expressed in the material or validity of the information in the material. Service provider is also not liable for how the sold material is used.

Service provider is not obligated to solve possible disputes between Owner of the material and Buyer, but can, when Service provider considers it necessary, arbitrate in disputes.

2. Buyers’ personal details

For making an order, Buyer must give personal details asked by the Service. Giving false personal details is strictly forbidden. Personal details are used for payment transactions carried out by following payment service provider Stripe

3. Registering

To buy or load materials from the Service, Buyer must register in the Service. A private person can buy material or load material for free but cannot set material for purchasing. A business enterprise can create a Stripe -payment service credentials after which it can also operate as seller of material (Owner of the material) or sharer (free of charge).

4. Purchase price of the material

Purchase price of the material is displayed in the Service and defined by Owner of the material when loading the material in the Service. There will be no other costs to the Buyer.

5. Delivering the material

After payment the material is delivered to Buyer in his/hers Documented.zone / Dokkari.fi –users account. Users can also load purchased materials straight from the Service to their own devices.

6. Right of use of the material

When purchasing material from the Service, the Buyer gets the right of use to the material either permanently (buying, free sharing) . On the basis of the use of right the Buyer can print the material to his/hers own use and save the material on his/hers own devices for future use. Buyer does not have the right to put the material available to others or make copies of the material to be distributed to other persons or quarters.

Nevertheless, Owner of the material has the opportunity to give wider rights to the material in the material description.

Service provider can be informed of material abuse or misconduct, if the material is suspected of abuse or misconduct.

7. Functioning of the Service

Service provider gives no direct or indirect guarantees of functioning or features of the Service and does not guarantee that the Service functions without breaks or flawlessly. If the Service has to be shut down because of technical problems, Service provider takes all its’ best efforts to get Service back in function in a reasonable time, considering the extent of the problem and other conditions.

8. Service changes

Service provider has the right to add, change or remove parts of the Service and to change parts of the Service subject to a charge or to stop maintaining Service partly or entirely. Service provider aims to, when it is reasonably possible, to inform of essential changes or temporary breaks in the Service in advance through the Service or in some other way it considers appropriate. Service changes come into effect immediately after they have been enforced.

9. Changes in Terms and conditions

Service provider has a right to change these Terms and conditions. Changes in Terms and conditions are informed to registered users through the Service, by e-mail or some other way Service provider considers appropriate. Changes come into effect at the moment informed by Service provider. If Owner of the material does not approve the changes in Terms and conditions, he has to inform this to Service provider to cancel the contract.

10. Applicable law and disputes

The contract and these Terms will be governed by law of Finland. The aim is to solve disputes between Service provider, Owners of the material and users by negotiating. If reconciliation is not reached, will the dispute be solved in Helsinki district court.

Contract of economical utilizing of documented material (selling, sharing) and the right of use of Documented.zone / Dokkari.fi –systems.

On the base of this contract the business enterprise (later “Owner of the material”) which produced the digital material (later “Material”) uploaded to the Documented.zone / Dokkari.fi –system (later “Service”) will give Ceverte Oy (later “Service provider”) the rights to sell or share the material in the Service and to manage associated payment transactions between the users of the system (later “Buyer”) and Owner of the material. For compensation, Service provider will charge Owner of the material a commission and a monthly charged user fee.

1. Contract inception

This contract will come into force at the moment the Owner of the material creates a user account to the Service and has approved the user account. Approving the user account will include approving this contract.

2. The role of the Service provider

Service provider provides the Owner of the material a virtual service, in which Owner of the material can place material for sellingand/or sharing. In addition, Owner of the material can share the uploaded material directly to another registered user through the System. Owner of the material can register to the System free-of-charge. User fee from access right to the account is charged monthly.

Service provider creates a meeting place and maintains a market place between Owners of the material and Buyers in which Service provider gains no direct or indirect right to economically utilize documented material but enables trading between Owner and Buyer to economically utilize documented material.

The Service is not a party in trading between Owner of the material and Buyer. Consequently any contracts of sellingand/or free sharing of documented material are fully between Owner of the material and Buyer or other user.

Service provider takes care of distributing the material on the market place and of payment transactions of purchases done through the System. Service provider charges Owner of the material a commission from sold or in some other way economically utilized material, rate of which is defined here .

3. Rights and duties of Owner of the material

As Owner of the material sets any material for sellingor free sharing in the System, Owner of the material maintains all rights to the material. Service provider is not liable for contents of the material provided by Owner of the material, nor any possible comments expressed in the material, validity of the information in the material or related immaterial rights.

Service provider has the right to remove material which it considers being against law or against good practices or inappropriate or false or harmful to Service provider, Buyers or a third party. Continuous loading of offensive material will lead to blocking the account of Owner of the material or closing it permanently according to Service providers’ judgement. When material abuse or material misconduct is informed to service provider, service provider can act accordingly and remove the material from the service.

As Owner of the material places any material to be sold in the Service, it commits itself to sell the material in the Service. Owner of the material can remove the material from service but this has no effect on purchases done earlier.

There is no employment contract between Owner of the material and Service provider. Therefore Owner of the material is liable for any tax consequences according to regulations in force. According to tax administrations’ ruling Service provider is obligated to inform tax administration of occasional non-employment-based payments paid to Owner of the material when the total amount exceeds 100 euros in a calendar year.

The service provider will make backup copies of the data as a part of the service. Service's data is backuped three times per day. Backup retentio is 90-days. However, the service provider does not guarantee the availability of backup copies of all cases, and the customer is solely responsible for making his own backup copies.

4. Purchase price of the material

Purchase price of the material is the price Buyer pays of the material. Owner of the material defines the Purchase price as the Owner loads the material in the Service. Service provider reserves the right to raise or reduce the purchase price if the demand of the documented material differs significantly from the original pricing done by the Owner of the material.

5. Terms and conditions concerning purchasing material

Owner of the material commits itself to applying Services’ common Terms of sale and delivery and to getting to know any updates in Terms and conditions in Service providers’ web site.

6. Commission to Service provider and a monthly fee

Service provider charges Owner of the material a commission from material purchased in the Service. Commission is fifteen per cent (15 %) of the purchase price. Commission does not apply to material shared for free.

Commission is charged when purchase income is accounted by deducting the amount of the commission from the purchase income. Service provider charges for using the Service by the list under this link on Service providers’ web site. Service provider reserves the right to update the price list monthly without changing it essentially and the changes being within the range from five to fifteen per cent. Monthly fee only applies to subscriptions with option to sell documented material is active.

7. Accounting the purchases to Owner of the material

Owner of the material can examine the purchases of the material and the cumulated balance from the purchases in the Service. In the payment transaction the purchase price of the sold material, from which commission specified by Service provider is deducted, is accounted to Owner of the material. Setting material for purchasing and accounting the purchases to Owner of the material is only possible if Owner of the material has created an account with Stripe -payment service. 8. Service

According to this agreement, the customer does not have right to modify, disassemble, or use the source code. The customer has no right to transfer, connect to or distribute the service.

The customer is responsible for obtaining the network, Internet and data communications, as well as the acquisition of the technical equipment needed to use the service.

Aim of the Service provider is to produce and maintain high-quality service for its users’ needs in an electric environment whose challenges are not dependent from Service provider. Service provider does not guarantee services’ functioning, usability or existence without breaks or flawlessly.

If the Service has to be shut down because of technical problems, Service provider takes all its’ best efforts to get Service back in function in a reasonable time, considering the extent of the problem and other conditions.

The service is provided ”as it is”. Service provider does not make any presentations or guarantees of the material in the service and disclaims the implied warranties and representations, including the commercial guarantees and suitability for the intended purpose.

Service provider does not warrant that the service will meet or fulfill the customer’s requirements, expectations or uses, or that the service will be uninterrupted and without errors.

9. Service changes

Service provider has the right to add, change or remove parts of the Service and to change parts of the Service being subject to a charge or to stop maintaining Service partly or entirely. Service provider aims to, when it is reasonably possible, to inform of essential changes or temporary breaks in the Service in advance through the Service or in some other way it considers appropriate. Service changes come into effect immediately after they have been enforced.

10. Changes in Terms and conditions

Service provider has a right to change these Terms and conditions. Changes in Terms and conditions are informed to Owners of the material through the Service, by e-mail or some other way Service provider considers appropriate. Changes come into effect at the moment informed by Service provider. If Owner of the material does not approve the changes in Terms and conditions, he has to inform this to Service provider to cancel the contract.

11. Contract validity period

Contract is valid until further notice. Both contracting parties can terminate the contract without a period of notice by e-mail or through the Service. The contract is valid until the end of the month from contract termination sumbission date. When the contract is terminated, accumulated unaccounted balance is accounted to Owner of the material within 30 days after contract termination. Relevant commission is charged according to these Terms and conditions.

Contract parties are discharged from contract obligations for the time and in the extent when fulfilment of obligations is impossible due to force majeure. Grounds for discharging is an unusual incident that prevents fulfilling the contract obligations and has happened after making the contract and is independent of the contract parties and effects of which cannot be reasonably avoided or defeated.

12. Contract transferring and protection clause

Service provider has the right to transfer the contract and services to a third party. Service provider also reserves the right to change the contents of the contract or terms of service.

Partial voidness of this contract is only limited to contract parts considered as void by administrative court.

13. Limitation of liability

Neither party shall be liable for indirect, special, consequential damages arising from this agreement, including loss of profits, business damages or losses resulting from business interruptions.

The service provider is not responsible for the destruction or loss of a material, not for any customer damages and costs incurred as a result. The service provider is not liable for the consequences or damages caused by the customer’s own activities.

The service provider is not responsible for any problems resulting from the network, or supply of electricity or for any problems relating to any service or product provided by third-party.

14. Applicable law and disputes

The contract and these Terms will be governed by law of Finland. The aim is to solve disputes between Service provider, Owners of the material and users by negotiating. If reconciliation is not reached, will the dispute be solved in Helsinki district court.
